Notice: Please read these Terms & Conditions carefully before engaging our services or browsing this website. By accessing
FLOWBITR or engaging our technology services, you agree to comply with and be bound by the terms detailed below.
These Terms & Conditions ("Terms") govern your use of the website operated by FLOWBITR ("Flowing Business Innovation & Technology Resources", "we", "us", or "our"), as well as any preliminary inquiries, project consultations, software development engagements, and digital services delivered by our organization.
If you represent an enterprise, corporation, or other legal entity, you warrant that you possess the requisite authority to bind that entity to these Terms. If you do not agree to these Terms in full, you must discontinue use of our site and services immediately.
FLOWBITR delivers enterprise web development, custom software engineering, cloud database systems, operational dashboards, POS platforms, UI/UX design, and digital consulting. Professional engineering engagements are formalized through one or more of the following instruments:
- Statements of Work (SOW): Specific schedules detailing technical scope, deliverables, milestone timelines, acceptance criteria, and fee structures.
- Master Services Agreements (MSA): Umbrella terms governing recurring or multi-phase enterprise client relationships.
- Service Level Agreements (SLA): Optional agreements specifying guaranteed uptime, support response windows, and routine system maintenance.
In the event of an express conflict between a signed SOW/MSA and these general website Terms, the provisions of the signed SOW/MSA shall prevail with respect to that specific project.
All materials on this website—including company logos, trademarks, copywriting, graphic designs, code snippets, interface mockups, and illustrations—are the intellectual property of FLOWBITR or its licensors and are protected under copyright, trademark, and unfair competition laws.
- You may browse and reference our website solely for legitimate informational and business evaluation purposes.
- You agree not to duplicate, reverse engineer, scrape, frame, or republish our proprietary brand assets or website design without prior written consent from FLOWBITR.
- You shall not engage in actions that degrade, overburden, or disrupt our web servers, networks, or connected database infrastructure.
To ensure timely, high-quality project delivery, clients agree to collaborate proactively with our engineering team:
- Information & Content: Provide accurate specifications, brand assets, imagery, copy, API keys, and credentialed server access in a timely manner.
- Asset Rights: Represent and warrant that all content, logos, third-party code, and media supplied to FLOWBITR are owned by the client or properly licensed without infringing on any third-party intellectual property.
- Milestone Reviews: Review deliverable milestones, staging deployments, and test releases within agreed feedback windows (typically 5–10 business days).
Unless otherwise stipulated in a signed project contract, intellectual property ownership follows industry standards:
- Custom Client Deliverables: Upon full and final settlement of all invoiced fees, FLOWBITR transfers to the client all right, title, and interest in the unique, custom-written application code, database structures, and final design assets created specifically for the project.
- FLOWBITR Background Technology: FLOWBITR retains ownership of pre-existing software routines, architectural templates, component frameworks, and proprietary utilities ("Background IP"). We grant the client a perpetual, worldwide, non-exclusive, royalty-free license to use Background IP strictly as incorporated within the delivered solution.
- Third-Party & Open-Source Software: Standard open-source frameworks, libraries, and content management systems (such as PHP, WordPress, MySQL, React, or Apache components) remain subject to their respective open-source licenses (MIT, GPL, Apache 2.0).
- Milestone Payments: Unless specified otherwise, project work is billed against agreed milestone schedules (e.g., initial deposit, design approval, staging beta, final deployment).
- Invoicing Terms: Invoices are payable within fourteen (14) calendar days of issuance via supported electronic payment methods (wire transfer, ACH, or corporate card).
- Taxes: Fees are exclusive of applicable federal, state, local, or value-added taxes, which remain the responsibility of the client.
- Late Payments: Overdue invoices may accrue interest at the rate of 1.5% per month (or the maximum allowed by law) and may lead to a suspension of development or deployment until settled.
Both parties agree to treat all non-public technical, commercial, financial, and strategic information disclosed during project scoping or delivery as strictly confidential. Neither party will disclose such confidential information to third parties without prior written consent, except to employees, contractors, and legal advisors who have a need to know and are bound by confidentiality duties.
FLOWBITR warrants that services will be performed in a professional, workmanlike manner consistent with prevailing software industry practices. Following final deployment, we provide a standard thirty (30) day warranty period during which any demonstrable defects or reproducible bugs conflicting with agreed specifications will be remediated at no additional charge.
Disclaimer: EXCEPT AS EXPRESSLY PROVIDED IN A SIGNED SOW, OUR WEBSITE AND GENERAL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLOWBITR, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, LOSS OF DATA, OR COST OF SUBSTITUTE PROCUREMENT—ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS OF ANY KIND SHALL BE LIMITED TO THE TOTAL AMOUNT PAID BY THE CLIENT TO FLOWBITR FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT.
Either party may terminate a project agreement upon written notice if the other party commits a material breach and fails to remedy it within thirty (30) days of receiving written notice. In the event of termination, the client shall pay for all services rendered, hours worked, and non-refundable expenses incurred up to the date of termination.
These Terms and any project disputes shall be governed by and construed in accordance with applicable commercial laws, without regard to conflicts of law principles. The parties agree to first attempt in good faith to resolve any dispute through informal executive negotiations before initiating formal legal proceedings.
